1. Acceptance of Terms
By accessing or using greyfoxdigital.com (the “Site”) or engaging services provided by Grey Fox Digital, LLC (“Grey Fox Digital,” “we,” “us,” or “our”), you agree to be bound by these Terms and Conditions (“Terms”). If you do not agree, you should not use the Site or services.
2. Services Overview
Grey Fox Digital provides digital marketing, automation, AI-powered systems, consulting, and performance-based revenue services, including but not limited to:
- RevenueGuard™ services and agents
- Lead response, reactivation, and follow-up systems
- AI-driven communication agents
- Marketing strategy, automation, and infrastructure consulting
- Performance-based or revenue-share engagements (where explicitly agreed)
Specific deliverables, pricing, timelines, and performance terms are defined in separate written agreements, proposals, or Statements of Work (SOWs).
3. No Guarantee of Results
Marketing performance depends on many factors outside our control, including market conditions, customer behavior, sales execution, and client responsiveness.
- We do not guarantee specific revenue, leads, conversions, or ROI unless explicitly stated in a signed agreement.
- Past performance does not guarantee future results.
- Performance-based services are governed solely by their specific contractual terms.
4. Client Responsibilities
Clients agree to:
- Provide accurate, complete, and timely information
- Maintain legal compliance in their business, advertising, and communications
- Properly handle leads, customers, and revenue generated
- Maintain ownership and permissions for all data, lists, and systems provided
Grey Fox Digital is not responsible for client sales processes, staff performance, fulfillment, or customer service unless explicitly contracted.
5. Intellectual Property
All content, systems, methodologies, workflows, agent logic, designs, and materials developed by Grey Fox Digital remain our intellectual property unless otherwise stated in writing.
Clients receive a limited, non-transferable license to use deliverables for their internal business purposes only.
Unauthorized reproduction, resale, or redistribution is prohibited.
6. Confidentiality
Both parties agree to maintain confidentiality of proprietary, technical, strategic, and business information exchanged during the engagement.
Confidentiality obligations survive termination of services.
7. Third-Party Tools & Platforms
Grey Fox Digital may integrate or rely on third-party software, platforms, APIs, or services.
- We are not responsible for outages, changes, pricing, or policies of third-party providers.
- Clients agree to applicable third-party terms.
8. Limitation of Liability
To the fullest extent permitted by law:
- Grey Fox Digital shall not be liable for indirect, incidental, special, or consequential damages.
- Our total liability shall not exceed the fees paid by the client to Grey Fox Digital in the preceding 12 months.
9. Indemnification
Clients agree to indemnify and hold harmless Grey Fox Digital from claims arising from:
- Client business practices
- Advertising content provided by the client
- Data misuse or compliance violations
- Sales, fulfillment, or customer disputes
10. Termination
Either party may terminate services per the applicable agreement.
Upon termination:
- Outstanding balances remain due
- Access to systems may be revoked
- Confidentiality and IP protections remain in effect
11. Governing Law
These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles.
12. Changes to Terms
We may update these Terms at any time. Continued use of the Site or services constitutes acceptance of revised Terms.
